These Terms and Conditions (“Terms”) govern access to and use of the ConvoPro platform, websites, applications, and related services (collectively, the “Service”) provided by ForceMedic Design LLC (“ForceMedic,” “ConvoPro,” “Company,” “we,” “us,” or “our”). By accessing or using the Service, or by clicking to accept these Terms, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.
If you do not agree to these Terms, you may not access or use the Service.
1. Definitions
“Service” means the ConvoPro platform and all associated software, websites, applications, application programming interfaces (APIs), integrations, and documentation made available by ForceMedic.
“Account” means the registered account through which you access the Service.
“Tenant” means the isolated organizational workspace provisioned for a Customer within the multi-tenant Service.
“Authorized User” means an individual you permit to access the Service under your Account or Tenant.
“Customer Content” means data, files, prompts, messages, configurations, and other materials that you or your Authorized Users submit to, upload to, generate through, or process using the Service.
“AI Output” means content generated by the Service’s artificial intelligence features in response to inputs.
“Connectors” means the optional third-party integrations that you may configure to connect the Service to external systems using your own credentials.
“Documentation” means the usage guides, specifications, and reference materials ForceMedic makes available for the Service.
2. Description of the Service
ConvoPro is a multi-tenant Conversation-as-a-Platform (CaaP) and AI-orchestration solution that enables organizations to build, deploy, and manage AI-powered conversational agents and workflows. Features may include, without limitation: AI chat and agents, flow automation, connector integrations to third-party business systems, document and file processing, forms, team and permission management, analytics, and embedded deployment (including a Salesforce-embedded experience).
The Service integrates with third-party artificial intelligence model providers and, where you choose to enable them, third-party business applications. ForceMedic may add, modify, or discontinue features from time to time as described in Section 15.
3. Eligibility and Accounts
3.1 Eligibility. The Service is intended for use by businesses and organizations and by individuals who are at least 18 years of age. By using the Service, you represent that you meet these requirements.
3.2 Registration. You must provide accurate, current, and complete information when creating an Account and keep that information up to date.
3.3 Account Security. You are responsible for safeguarding your Account credentials and for all activity that occurs under your Account and Tenant. The Service offers security features including multi-factor authentication (MFA) and single sign-on (SSO); you are responsible for configuring and using available security controls appropriately. You must notify us promptly at support@convopro.io of any unauthorized use of, or access to, your Account.
3.4 Authorized Users. You are responsible for your Authorized Users’ compliance with these Terms and for all use of the Service under your Tenant. You are responsible for managing your Authorized Users’ permissions and access.
4. Customer Content and License
4.1 Ownership. As between the parties, you retain all rights, title, and interest in and to your Customer Content. We do not claim ownership of your Customer Content.
4.2 License to Operate the Service. You grant ForceMedic a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use your Customer Content solely as necessary to provide, secure, maintain, and support the Service for you, and as otherwise instructed by you through your use of the Service.
4.3 No Use for Model Training. ForceMedic does not use your Customer Content to train ForceMedic’s own artificial intelligence models. As described in the Privacy Policy, the third-party AI model providers used by the Service agree, under their applicable API or business-service terms, not to train their models on data submitted through the Service’s API integrations by default.
4.4 Your Responsibilities for Customer Content. You are solely responsible for your Customer Content, including its accuracy, legality, and your right to submit and process it through the Service. You represent and warrant that you have all rights, consents, and permissions necessary to submit Customer Content to the Service and to authorize the processing described in these Terms and the Privacy Policy.
4.5 Regulatory Responsibility. You are responsible for determining whether the Service is appropriate for your data and use case and for complying with all laws and regulations applicable to your Customer Content and industry, including, where applicable to you, data protection and privacy laws. You may not submit Customer Content in violation of applicable law or third-party rights.
5. Acceptable Use
You agree not to, and not to permit any Authorized User or third party to:
Transmit unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content;
Violate any applicable local, state, national, or international law or regulation;
Infringe or misappropriate the intellectual property, privacy, or other rights of any third party;
Impersonate any person or entity, or misrepresent your affiliation with a person or entity;
Interfere with, disrupt, or degrade the integrity, security, or performance of the Service or the systems that host it;
Attempt to gain unauthorized access to the Service, other accounts or tenants, or any connected systems or networks;
Circumvent, disable, or otherwise interfere with security-related features of the Service, or exceed or evade rate limits, quotas, or usage restrictions;
Upload or transmit viruses, malware, or any other malicious or harmful code;
Harvest or collect information about other users without their consent;
Use the Service to develop a competing product or to reverse engineer, decompile, or disassemble the Service, except to the extent such restriction is prohibited by applicable law;
Use the Service to generate or facilitate content or activity that is fraudulent, deceptive, or intended to harm others; or
Use the Service for any unlawful, infringing, or unauthorized purpose.
We may investigate suspected violations and may suspend or terminate access for conduct that we reasonably believe violates these Terms or creates risk or liability for ForceMedic, the Service, or others.
6. Artificial Intelligence Features and Outputs
6.1 Nature of AI Output. The Service uses artificial intelligence, including third-party AI model providers, to generate AI Output. AI Output is generated automatically based on inputs and may be inaccurate, incomplete, or unsuitable for a particular purpose. AI Output does not represent the advice or opinion of ForceMedic.
6.2 No Reliance; Human Oversight. You are responsible for reviewing and evaluating AI Output before relying on or acting upon it. You should not rely on AI Output as a substitute for professional judgment or advice (including legal, financial, medical, or other professional advice). You assume full responsibility for any decisions or actions taken based on AI Output.
6.3 Human-in-the-Loop Controls. The Service provides configurable controls, including the ability to require human approval for individual AI tool actions. You are responsible for configuring these controls in a manner consistent with your risk tolerance and requirements.
6.4 Inputs. You are responsible for the inputs you submit to AI features and for ensuring you have the right to submit them.
7. Third-Party Services, Connectors, and Integrations
7.1 Connectors. The Service allows you to connect to third-party business systems (for example, CRM, productivity, accounting, code-repository, property-data, and web-search services) using credentials you supply. When you enable a Connector, data flows to and from that third-party system under your credentials and at your direction. Your use of any third-party service is governed by that third party’s own terms and privacy practices, and not by these Terms.
7.2 Third-Party AI Providers. The Service transmits inputs to third-party AI model providers to generate AI Output. Your use of the Service constitutes your authorization for such transmission as necessary to provide the Service.
7.3 No Responsibility for Third Parties. ForceMedic is not responsible for the availability, accuracy, security, or practices of any third-party service, and does not warrant or assume liability for any third-party service you choose to use with the Service.
8. Subscriptions, Fees, and Payment
8.1 Fees. Access to paid features of the Service is subject to the fees and billing terms presented to you at the time of purchase or in an applicable order or subscription plan. Fees may include subscription charges and usage-based charges (for example, based on consumption of AI and platform resources).
8.2 Billing and Payment. You authorize us and our third-party payment processors to charge the fees to your designated payment method according to the applicable billing cycle and plan. Payment and billing information is handled by third-party payment processors; ForceMedic does not store complete payment card numbers on its systems.
8.3 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, other than taxes based on ForceMedic’s net income.
8.4 Late or Non-Payment. If fees are not paid when due, we may suspend or restrict access to paid features after reasonable notice, without waiving our right to payment.
8.5 Changes to Fees. We may change fees on a prospective basis. We will provide notice of material changes to recurring fees in accordance with the applicable plan, and changes will take effect on your next billing cycle unless otherwise stated.
8.6 No Refunds. Except as required by applicable law or expressly stated in an applicable plan or order, fees are non-refundable.
9. Free Trials, Demos, and Beta Features
We may make trial access, demonstration tenants, or beta or pre-release features available. Such offerings may be provided “as is,” may be modified or discontinued at any time, and may be subject to additional terms presented at the time of the offering. Trial and demonstration access may be time-limited or feature-limited, and we may convert, suspend, or terminate such access at our discretion.
10. Intellectual Property
10.1 Ownership of the Service. The Service, including all software, features, functionality, and Documentation, and all intellectual property rights therein, are and will remain the exclusive property of ForceMedic Design LLC and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
10.2 Trademarks. “ConvoPro,” “ForceMedic,” and associated logos and trademarks may not be used without ForceMedic’s prior written consent.
10.3 Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant ForceMedic a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or obligation to you.
11. Confidentiality
Each party may have access to non-public information of the other party (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms and will protect it using at least reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party, is already known to the receiving party without a duty of confidentiality, is independently developed, or is rightfully obtained from a third party. This Section does not limit either party’s rights or obligations with respect to personal data, which are governed by the Privacy Policy and any applicable data processing terms.
12. Data Protection and Privacy
12.1 Privacy Policy. Our collection and use of personal information in connection with the Service is described in the ConvoPro Privacy Policy, which is incorporated into these Terms by reference.
12.2 Roles. With respect to Customer Content that contains personal data and is processed on your behalf, ForceMedic acts as a processor (or service provider) and you act as the controller (or business). You are responsible for the lawfulness of the Customer Content you submit and for providing any required notices and obtaining any required consents from individuals whose data you submit.
12.3 Security. ForceMedic maintains administrative, technical, and organizational safeguards designed to protect Customer Content, as further described in the Privacy Policy. No method of transmission or storage is completely secure, and ForceMedic does not guarantee absolute security.
13. Warranties and Disclaimers
13.1 Mutual Authority. Each party represents that it has the authority to enter into these Terms.
13.2 Disclaimer. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FORCEMEDIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE.
14. Limitation of Liability
14.1 Exclusion of Indirect Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORCEMEDIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORCEMEDIC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FORCEMEDIC FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14.3 Basis of the Bargain. The limitations in this Section reflect the allocation of risk between the parties and apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Availability, Support, and Modifications
15.1 Availability. We strive to keep the Service available but do not guarantee uninterrupted availability. The Service may be unavailable during maintenance, updates, or circumstances beyond our reasonable control.
15.2 Modifications to the Service. We may modify, enhance, or discontinue features of the Service from time to time. We will use reasonable efforts to avoid materially degrading core functionality during a paid subscription term.
15.3 Support. Support is provided as described in the applicable plan or Documentation. You may contact support through the channels made available within the Service.
16. Term and Termination
16.1 Term. These Terms remain in effect while you use the Service or maintain an Account.
16.2 Termination by You. To terminate your use of the Service and close your Account, submit a request through an available account-management function in the Service or in writing to support@convopro.io. Identify the Account and Tenant and the requested effective date. Termination will take effect on the requested date, or, if an applicable plan or order requires a notice period or minimum commitment extending beyond that date, on the earliest date permitted by that plan or order. You remain responsible for fees through the effective date and any amounts already due. We will confirm receipt of your request and its effective date through the Service or by email; these Terms do not specify a processing timeframe.
16.3 Termination or Suspension by Us. We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms, fail to pay applicable fees, or if we reasonably believe your use creates risk or legal exposure for ForceMedic, the Service, or others. Where practicable, we will provide notice.
16.4 Effect of Termination. Upon termination, your right to access and use the Service will cease. Following termination, we may delete Customer Content in accordance with our data retention practices described in the Privacy Policy. You are responsible for exporting Customer Content you wish to retain before termination where an export mechanism is available.
16.5 Survival. Sections that by their nature should survive termination will survive, including Sections 4.1, 10, 11, 13, 14, 16.4, 16.5, 17, 18, and 19.
17. Indemnification
You agree to defend, indemnify, and hold harmless ForceMedic Design LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your Customer Content; (b) your or your Authorized Users’ use of the Service; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right. ForceMedic will promptly notify you of any such claim, provide reasonable cooperation, and allow you to control the defense (provided that any settlement requiring an admission or obligation from ForceMedic requires ForceMedic’s prior written consent).
18. Governing Law and Dispute Resolution
18.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles.
18.2 Arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will be seated in the State of Michigan, and judgment on the award may be entered in any court of competent jurisdiction.
18.3 Exceptions. Either party may (a) bring an individual claim in small-claims court where it qualifies, or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or Confidential Information.
18.4 Class Action Waiver. To the maximum extent permitted by applicable law, disputes will be resolved on an individual basis, and you and ForceMedic waive any right to participate in a class, collective, or representative action.
18.5 Venue. To the extent any dispute is not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Michigan.
19. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date and provide notice through the Service or by other reasonable means. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
20. General
20.1 Entire Agreement. These Terms, together with the Privacy Policy and any applicable order or plan terms, constitute the entire agreement between you and ForceMedic regarding the Service and supersede all prior or contemporaneous agreements on that subject.
20.2 Assignment. You may not assign or transfer these Terms without ForceMedic’s prior written consent. ForceMedic may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
20.3 Severability. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20.4 Waiver. No waiver of any provision of these Terms will be effective unless in writing, and no failure to enforce any provision will constitute a waiver of that or any other provision.
20.5 Force Majeure. ForceMedic will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or utility failures, governmental action, or third-party service disruptions.
20.6 Relationship of the Parties. The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship.
20.7 Notices. We may provide notices to you through the Service or to the contact information associated with your Account. You may provide notices to us at support@convopro.io.
20.8 Export and Sanctions Compliance. You represent that you are not located in, and will not use the Service in violation of, any applicable export-control or sanctions laws.
20.9 U.S. Government End Users. The Service is a “commercial item” as defined under applicable U.S. federal acquisition regulations, and any use by U.S. Government end users is subject to these Terms.
